A Conversation with Chief Justice, Myron T. Steele of the Delaware Supreme Court
The Forum for Corporate Directors, the Harvard Business School Association of Orange County, and the Orange County Chapter of Financial Executives International are pleased to present A Breakfast Conversation with Chief Justice Myron Steele of the Delaware Supreme Court.
Justice Steele is among the most influential and respected thought leaders in the U.S. on corporate governance issues. Brian McCarthy, Senior Partner at Skadden Arps, will engage the Chief Justice in a dialog on a variety of topics relevant for all directors, executives and their advisors guiding their companies in this global economy. Included among the topics to be covered will be:
- The evolving duties and responsibilities of the Board in a variety of transactional matters;
- The impact of the implementation (or lack thereof) of Dodd-Frank on state law governance and how the election may have an impact; and
- Progress made on multi-jurisdictional litigation and its effect on corporate transactions.
The breakfast will offer a lively discussion and an opportunity for extensive audience participation.

Chief Justice Myron T. Steele is the 7th Chief
Justice of the Delaware Supreme Court since the separate Court was formed in
1951. In addition to being an acclaimed jurist, Chief Justice Steele is
a prolific writer in the field of business law and governance topics.

Brian McCarthy’s practice at the Los Angeles office of Skadden, Arps, Slate,
Meagher & Flom LLP concentrates on corporate and securities matters, with
particular emphasis on mergers, acquisitions, corporate governance issues and
restructurings. Mr. McCarthy has acted as counsel to numerous companies
and investment banking firms in mergers, acquisitions and tender offers, both
friendly and hostile, including the representation of Activision, Inc. in its
business combination with Vivendi Games; The Walt Disney Company in its
acquisition of Pixar Animation Studios; and Advanced Medical Optics, Inc. in
its acquisition of VISX.
